Anti Curruption Policy

You (“Business Partner”) hereby represent, warrant, and covenant to Pawanputra Courier and Logistics Services Pvt. Ltd. (“Company”) that:

1. Compliance with Laws: In the performance of this Agreement, you, your shareholders, affiliates, officers, directors, employees, and agents or representatives (if any) shall comply strictly with all applicable anti-corruption laws, including but not limited to the Prevention of Corruption Act, 1988 (India).
2. No Improper Payments or Offers: You and your representatives have not made, and will not make, any offer, payment, promise to pay, receipt, or authorization of the giving or receiving of anything of value to improperly influence official action, obtain or retain business, or secure any other improper advantage.
3. No Government Official Involvement: Throughout the term of this Agreement, neither you nor your officers, directors, employees, agents, or representatives is or will become a Government Official, nor is your business owned or controlled by any government or Government Official.
4. Accurate Record-Keeping: You shall maintain complete and accurate financial records relating to the services provided under this Agreement. The Company shall have the right to inspect such records upon request and you agree to fully cooperate with such inspection.
5. Mandatory Notification: You shall immediately notify the Company if any of the above representations or warranties become untrue or inaccurate. In such an event, the Company reserves the right to:
   • Terminate the Agreement without further payment;
   • Withhold payment until the matter is resolved to the Company’s satisfaction;
   • Pursue other available legal or contractual remedies.
6. Company’s Discretion: The Company shall not be obligated to take any action or omit any action that it believes, in good faith, may result in a violation of any applicable anti-corruption law.

• A. Non-Assignment: You may not assign, sub-contract, or otherwise transfer any part of your services or rights under this Agreement without the Company’s prior written consent. Fee-sharing or delegation of services to any third party is prohibited without express written authorization.
• B. Payments: All payments under this Agreement shall be made via check or bank transfer directly to your registered business account in your country of domicile or service. Payments to third parties are strictly prohibited.
• C. Permitted Disclosures: You acknowledge and agree that the Company may disclose the details of this Agreement—including your identity, nature of services, and payment terms—to any government agency or third party deemed to have a legitimate interest, as determined by the Company.
